Clear rules for

Agee is a Discord application providing administrative, moderation, staff-management, enrolment, ticketing, record-keeping, economy, role-management, government-management and related server-management functions.

Agee is legally operated as Agee Enterprises, a project and operating division under Vilares Technologies Private Limited.

In these Terms of Service:

• “Agee” means the Agee Discord application, its associated services, websites, systems and features.
• “Vilares,” “we,” “us” or “our” means Vilares Technologies Private Limited, acting through Agee Enterprises.
• “User,” “you” or “your” means any person who accesses, authorises, configures, manages or interacts with Agee.
• “Server” means a Discord server, also referred to by Discord as a guild.
• “Server Administrator” means a server owner, administrator or other authorised person who installs, configures or operates Agee within a server.

Agee is an independent third-party application. Agee Enterprises and Vilares Technologies Private Limited are not affiliated with, endorsed by, sponsored by or operated by Discord Inc.

By installing, authorising, accessing, configuring, managing or using Agee, you confirm that:

1. you have read and understood these Terms;
2. you agree to be bound by these Terms;
3. you will comply with all applicable laws and Discord policies; and
4. where you act for a company, organisation, community, government, agency or other entity, you have authority to bind that entity to these Terms.

Where you do not agree to these Terms, you must not install, authorise, access or use Agee and must remove Agee from any server under your control.

You must be at least 13 years old and meet the minimum age required to use Discord under the laws of your country.

Where you are under the legal age required to enter into a binding agreement in your jurisdiction, your parent or legal guardian must review and agree to these Terms on your behalf.

Agee must not be directed towards, knowingly used by or used to collect information from anyone who is below Discord’s applicable minimum age.

You must not use Agee where you have been prohibited or suspended from using Discord, Agee or related services.

Your use of Agee remains subject to all applicable Discord rules, including the current versions of:

• the Discord Terms of Service;
• the Discord Community Guidelines;
• the Discord Developer Terms of Service;
• the Discord Developer Policy;
• Discord’s safety and reporting policies; and
• any other policies that apply to your Discord account, server or use of Discord’s services.

These Discord rules are incorporated into these Terms by reference. Where Discord changes its rules, you are responsible for complying with the updated versions.

Nothing in these Terms replaces, limits or overrides your obligations to Discord. Where these Terms conflict with a mandatory Discord requirement, the applicable Discord requirement will prevail to the extent of that conflict.

Discord may independently investigate content, users, servers and applications and may take action regardless of any decision made by Agee or a Server Administrator.

Only a person with the necessary Discord permissions and proper authority may install or authorise Agee in a server.

By installing or configuring Agee, you confirm that:

1. you are authorised to act for the relevant server;
2. you understand the permissions requested by Agee;
3. you have reviewed whether those permissions are appropriate for your server;
4. you have informed relevant server members about Agee where required; and
5. you accept responsibility for your configuration and use of Agee.

Agee will only perform actions permitted by Discord, the permissions granted to it and its configured features. Server Administrators are responsible for controlling Agee’s permissions, command access, role hierarchy, logging channels, authorised staff and configuration.

You must not grant Agee unnecessary permissions or use Agee to provide a person with access that they are not authorised to possess.

Agee may only be used for lawful and legitimate server-management purposes.

You may use Agee to administer a community, manage roles and records, process authorised enrolments, create and manage tickets, record administrative actions, operate approved economy features, assist moderation and carry out other functions made available by Agee.

You remain responsible for:

• decisions made using information provided by Agee;
• commands issued through your account;
• actions taken by your staff or authorised users;
• the accuracy of information entered into Agee;
• your server’s rules and moderation procedures;
• reviewing Agee’s permissions and configuration; and
• ensuring that your use of Agee complies with applicable laws.

Agee is a management tool and does not replace human judgement, appropriate moderation procedures, legal advice, emergency services or Discord’s own enforcement systems.

You must not use Agee, or permit Agee to be used, to engage in, facilitate, organise, encourage or conceal conduct prohibited by Discord or applicable law.

Prohibited conduct includes, without limitation:

7.1 Harmful conduct

You must not use Agee to:

• harass, bully, intimidate, stalk or threaten another person;
• organise server raids, mass harassment or ban evasion;
• promote hatred or violence against a person or group;
• promote, support or coordinate violent extremism;
• disclose, collect or distribute another person’s private or personally identifiable information without lawful authority and consent;
• encourage, glorify or instruct another person to engage in suicide, self-harm or dangerous conduct;
• facilitate trafficking, exploitation, sexual solicitation or other conduct that threatens another person’s safety; or
• coordinate or cause real-world harm.

7.2 Child safety

Agee must never be used to create, request, store, distribute, promote or facilitate:

• child sexual abuse material;
• sexualised content involving anyone under 18;
• grooming or sexual communication involving a minor;
• sexual exploitation of a minor;
• attempts to arrange sexual contact with a minor; or
• instructions, prompts or tools intended to generate such material.

Do not submit suspected child sexual abuse material to Agee support. Preserve only lawful identifying information, such as message links or identifiers, and report the matter directly through Discord’s reporting tools and to the appropriate authorities where required.

7.3 Sexual and intimate content

You must not use Agee to:

• distribute sexually explicit content to anyone under 18;
• expose users to adult content without legally required restrictions;
• distribute non-consensual intimate imagery;
• create or distribute sexually explicit depictions of another person without consent; or
• facilitate sexual exploitation or illegal sexual services.

7.4 Fraud, deception and platform abuse

You must not use Agee to:

• conduct scams, fraud, phishing or impersonation;
• distribute malware, malicious links or harmful software;
• obtain passwords, authentication codes, session information, account tokens or credentials;
• operate self-bots, user-bots, token generators or unauthorised automated accounts;
• send spam or unsolicited bulk messages;
• manipulate server membership, engagement, activity or other metrics;
• sell Discord accounts, usernames, server permissions, servers or invite links;
• evade Discord-level enforcement;
• file false, malicious, misleading, coordinated or duplicative reports; or
• abuse Agee’s support, ticket or reporting systems.

7.5 Illegal and restricted activities

You must not use Agee to organise, promote or facilitate:

• illegal gambling;
• money laundering or financial crime;
• the unlawful sale or distribution of weapons, controlled substances or dangerous goods;
• copyright infringement or the unauthorised distribution of protected material;
• hacking, credential theft or unauthorised access;
• denial-of-service attacks or network disruption; or
• any other unlawful activity.

7.6 Technical abuse

You must not:

• probe, attack, disrupt or interfere with Agee’s infrastructure;
• bypass Agee’s permission, authentication, access-control or security systems;
• exploit vulnerabilities without prior written authorisation;
• overload Agee through excessive commands, automated requests or abusive traffic;
• scrape, harvest or systematically extract Agee or Discord data;
• reverse engineer Agee except where such restriction is prohibited by law;
• copy, resell or commercially exploit Agee without written permission;
• access another server’s records without authorisation;
• attempt to obtain Agee’s application token, credentials, source code or confidential systems; or
• use Agee or information obtained through it to profile or discriminate against individuals in decisions concerning employment, housing, insurance, credit or similar essential services.

Server Administrators retain responsibility for managing their servers and establishing appropriate rules, permissions and appeal procedures.

Agee may execute moderation or administrative actions based on:

• commands issued by authorised users;
• server configuration;
• automated rules selected by Server Administrators;
• role and permission structures;
• information submitted by users; or
• safety and security controls operated by Agee.

Agee may record administrative and moderation actions for security, accountability and audit purposes.

We do not guarantee that automated detections, moderation recommendations, records or administrative actions will always be accurate, complete or appropriate. Server Administrators should review significant actions and provide reasonable appeal or review mechanisms where appropriate.

You must not configure Agee to impersonate Discord staff, mislead users about official authority or falsely represent Agee’s actions as actions taken by Discord.

Agee is provided on an “as available” basis.

We may add, change, limit, suspend or discontinue any part of Agee at any time. This may occur for maintenance, security, legal compliance, Discord policy compliance, infrastructure changes, abuse prevention or business reasons.

We do not guarantee that Agee will:

• be continuously available;
• operate without errors or interruptions;
• retain every record indefinitely;
• remain compatible with every Discord feature;
• satisfy every server’s particular requirements; or
• recover information lost through deletion, configuration errors, Discord changes or third-party failures.

Server Administrators should maintain independent records or backups of information that is operationally or legally important.

Agee depends on Discord and may depend on hosting providers, database providers, email providers and other third-party services.

We do not control Discord or other third-party services. Changes, outages, restrictions, enforcement actions or discontinued features affecting those services may affect Agee.

Your use of Discord remains governed by your separate agreement with Discord. Vilares is not responsible for Discord accounts, server suspensions, content removals, enforcement decisions, outages or changes to Discord’s platform.

Discord is not responsible for Agee’s operation, support, content, security or conduct.

Agee, including its software, branding, designs, documentation, systems, names, logos and original content, is owned by or licensed to Vilares Technologies Private Limited.

These Terms grant you a limited, revocable, non-exclusive, non-transferable and non-sublicensable right to use Agee for its intended purpose while you comply with these Terms.

You may not copy, reproduce, modify, distribute, sell, licence, impersonate or create derivative commercial services from Agee without prior written permission.

Discord and its associated names, logos and services are the property of Discord Inc. Nothing in these Terms grants you rights to Discord’s intellectual property.

To the maximum extent permitted by law, Agee is provided “as is” and “as available”, without warranties of any kind, whether express, implied or statutory.

We disclaim warranties of merchantability, fitness for a particular purpose, accuracy, availability, non-infringement and uninterrupted or error-free operation.

We do not warrant that:

• Agee will prevent every violation;
• moderation outcomes will always be correct;
• server records will be complete or permanently retained;
• Agee will identify every harmful message or user;
• use of Agee will ensure compliance with law or Discord policy; or
• Agee will be suitable for legal, governmental, financial, employment or emergency decision-making.

Agee does not provide legal, financial, medical, mental-health, law-enforcement or emergency advice.

To the maximum extent permitted by applicable law, Vilares Technologies Private Limited, Agee Enterprises and their directors, officers, employees, contractors and representatives will not be liable for any indirect, incidental, special, exemplary, punitive or consequential loss.

This includes loss of data, revenue, profits, reputation, server access, roles, permissions, content, records or business opportunities arising from or connected with:

• the use or inability to use Agee;
• incorrect commands or configurations;
• moderation or administrative actions;
• unauthorised account access;
• Discord enforcement;
• service interruptions;
• third-party services;
• deleted or unavailable records; or
• conduct by users or Server Administrators.

To the maximum extent permitted by law, our total aggregate liability arising from Agee will not exceed the greater of:

1. the amount you paid directly to us for Agee during the 12 months preceding the event giving rise to the claim; or
2. MVR 1,000.

Nothing in these Terms excludes liability that cannot lawfully be excluded or limited.

To the extent permitted by law, you agree to defend, indemnify and hold harmless Vilares Technologies Private Limited, Agee Enterprises and their directors, officers, employees, contractors and representatives from claims, losses, liabilities, damages, penalties, costs and reasonable legal expenses arising from:

• your use or misuse of Agee;
• your server, content or configuration;
• commands or actions issued through your account;
• your violation of these Terms;
• your violation of Discord’s rules;
• your violation of applicable law;
• infringement of another person’s rights; or
• actions taken by persons whom you authorised to access Agee.

We may update these Terms to reflect changes to Agee, Discord’s requirements, applicable law, safety practices or our operations.

The updated Terms will take effect on the date stated at the beginning of the revised version. Where reasonably practicable, material changes may be communicated through Agee, an official website, a support channel or another appropriate method.

Continuing to use Agee after updated Terms become effective constitutes acceptance of the updated Terms. Where you do not accept an update, you must stop using Agee.

If any part of these Terms is found invalid or unenforceable, the remaining provisions will continue in effect.

Our failure to enforce any provision does not waive our right to enforce it later.

You may not assign or transfer your rights under these Terms without our prior written consent. We may assign these Terms as part of a restructuring, merger, acquisition, transfer of business or transfer of the Agee service.

These Terms, together with the Agee Privacy Policy and any additional terms presented for a particular feature, constitute the entire agreement between you and us concerning Agee.

Section headings are provided for convenience and do not limit the meaning of these Terms.
